Terms of Service

These Terms of Service ("Terms") are a binding contract between Adishtu Tec Lab ("we", "us") and the clinic or entity that registers for Cliniq Snapr ("you", "Customer").

By creating an account, paying for a subscription, or using the Service, you accept these Terms on behalf of your organisation.

Cliniq Snapr provides clinic management software: web admin dashboard, mobile staff tools, case-sheet scanning (Snapr AI), analytics, billing, and optional WhatsApp messaging features.

We may modify, suspend, or discontinue features with reasonable notice where practicable. The Service is provided on a subscription basis.

You represent that you are a legitimate healthcare provider or authorised clinic operator in India, that registrants are 18+, and that you have authority to bind your organisation.

You are responsible for all activity under your clinic code, staff accounts, and admin credentials. Notify us immediately of unauthorised access.

Fees are as published on our pricing page or order form. Prices are inclusive of applicable GST unless stated otherwise. GST tax invoices are issued per transaction.

Subscriptions renew automatically unless cancelled before the renewal date. Overage packs (patients, scans, WhatsApp messages) are charged as published.

Payments are processed via Razorpay. Failed payments may suspend access until resolved.

We may change prices for future billing periods with at least 30 days' notice. Continued use after the effective date constitutes acceptance.

You must comply with our Acceptable Use Policy, applicable healthcare laws, WhatsApp/Meta policies, and anti-spam rules.

You may not misuse the Service, attempt unauthorised access, resell without permission, or use the Service for unlawful purposes.

Snapr AI and other automation features assist with data entry only. They are not medical devices and do not provide medical advice, diagnosis, or treatment recommendations.

You must review and verify all AI-extracted or automated outputs before clinical or billing use. We do not guarantee accuracy, completeness, or fitness for a particular medical purpose.

You alone are responsible for patient care decisions and record accuracy.

You retain ownership of your clinic and patient data. You grant us a worldwide, non-exclusive licence to host, process, and display it solely to operate the Service.

We own all software, branding, and intellectual property in the Service. No rights are granted except as expressly stated.

Each party will protect the other's confidential information with reasonable care and use it only for the purpose of the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUTS.

We do not warrant uninterrupted or error-free operation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.

You will defend, indemnify, and hold harmless Adishtu Tec Lab, its owners, and affiliates from claims, damages, fines, and costs (including reasonable legal fees) arising from: (a) your use of the Service; (b) patient data you process; (c) breach of these Terms or law; (d) WhatsApp or marketing messages you send; (e) reliance on unverified AI output.

You may cancel per our Refund & Cancellation Policy. We may suspend or terminate access immediately for non-payment, breach, legal risk, or abuse.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (fees owed, disclaimers, liability limits, indemnity, governing law) will survive.

These Terms are governed by the laws of India. Courts in Tamil Nadu, India shall have exclusive jurisdiction, subject to our right to seek injunctive relief anywhere.

Before litigation, parties will attempt good-faith resolution by written notice to support@cliniqsnapr.com for 30 days.

These Terms, the Privacy Policy, Acceptable Use Policy, and Refund Policy form the entire agreement. If any provision is unenforceable, the remainder stays in effect.

We may assign these Terms; you may not assign without our consent.
